By installing, accessing, or using the Service, or by clicking “I agree,” you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not install or use the Service. If you use the Service on behalf of an organisation, you represent that you are authorised to bind it, and “you” includes that organisation.
THE SHORT VERSION
- aplies is a tool that runs in your own Chrome browser, under your control. You choose what it does, when, and how much.
- You are responsible for your own account on any job platform. Some platforms restrict automation — using aplies there is your choice and your risk.
- You buy Credits. Each attempt uses Credits whether or not it succeeds — no token fees, no hidden fees. Unused or expired Credits aren't refundable.
- If something goes wrong on our side — a bug, instability, an outage — we make it right with free Credits or a discount.
- Your data is yours. We don't sell it, and we don't train AI models on your CV or applications.
- Everything aplies is made of — its name, code, and AI — stays ours. Please don't copy, resell, or reverse-engineer it.
- We can change the Service and these Terms, and we give notice before changes that materially affect you.
This summary is for convenience only and does not replace the full text below, which controls.
1. Definitions
1.1 Service. the aplies browser extension, AI Agent, websites, dashboards, APIs, and all related software and services.
1.2 Extension. the aplies software application that installs into a supported web browser and operates within your own browser session.
1.3 AI Agent. the automated, artificial-intelligence-driven feature of the Service that searches for opportunities, prepares responses, completes forms, and submits applications in accordance with the settings and supervision you configure.
1.4 Output. any content the Service generates for you, including drafted answers, form entries, matches, and messages. Action means any step the Service performs at your direction, including searching, form-filling, and submitting.
1.5 Third-Party Platform. any website, application, service, network, or system not owned or operated by aplies with which the Service interacts at your direction, including any professional-networking, recruitment, job-listing, or employer career platform, and any applicant-tracking system. aplies does not identify individual Third-Party Platforms by name in these Terms, and no reference to a category implies any relationship with, or endorsement by, any particular provider.
1.6 Supported Environment. the specific browser and category of Third-Party Platform that aplies designates as supported in the then-current release. During the current release (“Phase 1”), the Supported Environment is the Google Chrome desktop browser and a single category of professional-networking / job-application platform, and the supported Actions are that platform’s native quick-apply flow and its standard apply flow, including completing an application form hosted on an external employer career site to which such a flow may redirect.
1.7 Credits. the prepaid virtual units used to access chargeable features, as described in Section 8.
1.8 Plan. any subscription plan or one-time Credit pack offered by aplies.
1.9 User Content. any data, documents, curriculum vitae or résumé, profile information, answers, preferences, or other materials you upload to, generate with, or direct through the Service.
1.10 Account. the registered account through which you access the Service.
2. Eligibility
2.1 You must be at least eighteen (18) years old, or the age of majority in your jurisdiction if higher, and have full legal capacity to enter into these Terms.
2.2 Sanctions and restricted parties. You represent and warrant that you are not located in, and are not a national or resident of, any country or territory subject to comprehensive economic sanctions, and that you do not appear on any government restricted-party, denied-party, or specially-designated-nationals list. You must not use the Service in breach of any export-control or sanctions law.
2.3 You are responsible for ensuring that your use of the Service is lawful where you are. The Service is offered globally, but nothing here offers it where prohibited by law.
3. The Service, and What It Is Not
3.1 Nature of the Service. aplies is a productivity tool. It provides software that operates inside your own web browser, under your own logged-in session, to help you search for opportunities and prepare and submit applications more efficiently. The Service acts only as your agent and instrument: it performs Actions you configure, authorise, and supervise. You are the actor and the responsible party for every Action taken through the Service.
3.2 Phase 1 scope. The current release supports the Supported Environment defined in Section 1.6 and no other. Features, supported browsers and platforms, capacity limits, pricing, and Credit costs are those published by aplies from time to time and are subject to change under Section 17.
3.3 Outputs and Actions may be imperfect or fail. The AI Agent’s Outputs and Actions — including matches, form entries, screening answers, and submissions — may be inaccurate, incomplete, delayed, directed at the wrong listing, or may error or fail, in some cases without notice. aplies does not guarantee that any application will be prepared correctly, delivered, received, viewed, or reviewed, or that any interview, response, offer, or hiring outcome will result. You are responsible for independently reviewing each Output and submission. A charged Credit reflects an attempt performed, not a successful, accurate, or accepted application.
3.4 No professional advice. The Service does not provide legal, career, immigration, financial, or employment advice. Any Output is provided for your consideration only, and you remain solely responsible for deciding whether to submit it.
3.5 Employment decisions and non-discrimination. aplies is a tool that helps you apply for roles you choose. It does not make hiring decisions, does not screen, rank, or evaluate you for any employer, and is not an employment agency, recruiter, or career adviser. You select the roles, criteria, and filters, and you are responsible for those choices. aplies does not use protected characteristics — such as race, colour, sex or gender, age, religion, disability, national origin, or any other characteristic protected by applicable law — as search, targeting, or matching criteria, and you must not use the Service to discriminate against or on behalf of any person in violation of any equal-opportunity or anti-discrimination law. aplies is not responsible for the decisions, criteria, or conduct of any employer or Third-Party Platform.
3.6 No impersonation. The Service prepares materials in a style informed by your own User Content and discloses the involvement of automation where a form asks. It must not be used to impersonate any other person or to misrepresent your identity, qualifications, or authorship.
3.7 Automatic updates. The Extension may update automatically through the browser’s extension store or otherwise. Updates may add, change, or remove features. Your continued use after an update is governed by the then-current Terms.
4. Your Account and Security
4.1 You must provide accurate, complete registration information and keep it current. You are responsible for all activity under your Account.
4.2 You are responsible for the confidentiality of your Account credentials and for any use of the Service through your browser and devices, and must notify us promptly at [email protected] of any unauthorised use.
4.3 You may not share, sell, sub-license, rent, or transfer your Account; you may not sell your Credits, or transfer them other than through the credit-transfer feature described in Section 8.2; and you may not operate multiple Accounts to circumvent limits, pricing, or promotions.
5. Your Responsibilities, Representations, and Assumption of Risk
This Section is fundamental to the bargain between you and aplies. Read it carefully.
5.1 Your relationship with Third-Party Platforms. The Service operates within your own accounts and sessions on Third-Party Platforms, which are governed solely by the agreement between you and each platform. You represent and warrant that you have the right to access those accounts, to use them in the manner you direct through the Service, and to authorise the Service to act within them on your behalf.
5.2 Acknowledgement of platform rules. You acknowledge that some Third-Party Platforms restrict, discourage, or prohibit automated access, automated interaction, scripted activity, scraping, or software agents, and that a platform operator may, at its discretion, warn, rate-limit, throttle, restrict, suspend, disable, or terminate an account, remove content, or take other action against activity it considers to breach its terms. You alone are responsible for reviewing, understanding, and complying with the terms and rules of every Third-Party Platform you use with the Service.
5.3 Assumption of risk and release. You knowingly and voluntarily assume all risk arising from your use of the Service with any Third-Party Platform, including the risk of account warning, rate-limiting, restriction, suspension, loss of features, loss of data or connections, reputational impact, or permanent termination of any Third-Party Platform account. aplies is not responsible or liable for any such action or consequence, and you release aplies from any claim arising from it, to the fullest extent permitted by law. You are responsible for setting volumes, pacing, and supervision conservatively and in line with your own risk tolerance and the rules that apply to you.
5.4 Supervision and review. The Service offers manual, automatic, and scheduled modes and review controls. You are responsible for selecting an appropriate mode and for reviewing activity. Any application, answer, form, or message submitted through the Service is submitted by you and on your responsibility, whether or not you individually reviewed it, and you are bound by it as if you had prepared and submitted it personally.
5.5 Accuracy, honesty, and authority over content. You represent and warrant that your User Content is truthful, accurate, and not misleading; that you own or are licensed to use it; that it infringes no third-party right and violates no law; and that you have all rights and consents necessary to submit any third-party personal data contained in it (for example, the names and contact details of references or former employers). You are solely responsible for the content of every application submitted through the Service. The AI Agent draws on your User Content and does not knowingly fabricate credentials, but you must review Outputs and remain responsible for their accuracy.
5.6 Your obligations are conditions. Your obligations under this Section and Section 7 are conditions of your right to use the Service. A breach of either is a material breach of these Terms.
6. Third-Party Platforms and Non-Affiliation
6.1 aplies is an independent product. It is not affiliated with, endorsed by, sponsored by, or officially connected to any Third-Party Platform, employer, applicant-tracking system, or their owners. All product names, logos, and trademarks are the property of their respective owners and are used, if at all, for identification and nominative purposes only.
6.2 aplies does not control and is not responsible for Third-Party Platforms, their availability, rules, changes, or any action they take. Your dealings with Third-Party Platforms and with any employer or recruiter are solely between you and them, and you indemnify aplies for any claim arising from your use of the Service on any Third-Party Platform (Section 13).
6.3 The Service may cease to function, in whole or in part, with respect to any Third-Party Platform at any time, including because of changes made by that platform. aplies does not warrant continued interoperability and is not liable for any loss arising from its loss.
7. Acceptable Use
In short: use aplies for your own job search, set sensible volumes and pacing, and review what it submits. Do not apply as anyone other than yourself, submit false or misleading information, share or resell your Account, scrape or reverse-engineer the Service, or use it to break the law or to discriminate. The detailed rules follow.
You must not, and must not permit or enable any person to:
- use the Service in violation of any law or the rights of any person, or to submit false, fraudulent, discriminatory, defamatory, harassing, or unlawful content;
- apply on behalf of anyone other than yourself, or misrepresent authorship, identity, or the involvement of automation to any third party;
- use the Service in any manner that breaches a Third-Party Platform’s terms in a way you have not chosen and accepted the risk of under Section 5;
- resell, sub-license, rent, or share the Service or your Account, or circumvent Credit metering, rate limits, or other controls;
- use spiders, crawlers, scrapers, data-mining, or other automated means to access, copy, or harvest data from the Extension, API, dashboard, or Outputs, or to bypass any security, licensing, or rate-limiting feature of the Service;
- transmit malware, interfere with or disrupt the Service or any system, or attempt to access accounts, data, or systems without authorisation; or
- use the Service for any abusive, spamming, or deceptive campaign, or in any manner that could expose aplies to legal liability or regulatory action.
7.1 Responsibility for submitted content. You are responsible for all content submitted under your name through the Service, including AI-generated content, and must not misrepresent its origin to any third party.
8. Credits, Plans, Pricing, and Payment
8.1 Credit model and per-attempt charging. Chargeable features are accessed using Credits. Each chargeable Action consumes the number of Credits published in the then-current pricing. Credits are consumed on a per-attempt basis: a Credit is charged when the Service performs the work of an Action, whether or not the Action ultimately succeeds, is accepted, or produces any response. Illustrative Phase-1 costs are: a native quick-apply application — one (1) Credit; a standard apply application completed on an external career site — two (2) Credits; learning and extracting information from a curriculum vitae — two (2) Credits per document; and completing an application form — nought-point-one (0.1) Credit per form. Current costs are those published in the Service at the time of use.
8.2 Nature of Credits. Credits are a limited licence to use features of the Service. They are prepaid, have no cash value, and are non-reloadable and non-redeemable for cash. Credits may be moved to another aplies Account only through the credit-transfer feature in the Service: aplies keeps a fee of ten per cent (10%) of the Credits sent, and at least two (2) Credits, or a lower percentage shown in the Service before you confirm, during a limited-time offer or with a transfer code; the Credits the recipient will receive are shown before you confirm; free signup Credits and referral rewards cannot be transferred; and transferred Credits keep the expiry date they already had. Credits — including the free signup Credits and any promotional Credits — are subject to the validity period in Section 8.3, after which they expire, and are forfeited on closure or termination of your Account for cause, in each case without refund.
8.3 Plans and Credit validity. aplies offers Plans as one-time Credit packs and as recurring monthly subscriptions that replenish Credits. On monthly subscriptions, unused Credits remain valid for one (1) month on the Light, Essential, and Pro plans; two (2) months on Executive; and three (3) months on Signature. On monthly Executive and Signature subscriptions, the months beyond the first are carry-over: Credits still unused when a paid month ends carry into the following month, and each time they carry aplies keeps a carry-over fee of ten per cent (10%) of the Credits carried, rounded to the nearest whole Credit. On yearly subscriptions, the year's Credits are granted in full at payment and remain valid for the twelve (12) months paid for, on every Plan. Each grant of Credits keeps its own validity period whether the subscription renews, is not renewed, is cancelled, or ends. When that period ends the Credits expire and are forfeited without refund. The Credit allocation, price, validity period, rate limits, and features of each Plan are those published at the time of purchase and may be changed under Section 17.
8.4 Free and promotional Credits. aplies may grant complimentary Credits (for example, on signup or as a promotion). These have no cash value, are non-refundable, can be transferred only as Section 8.2 allows, may carry additional conditions, and may be modified or withdrawn at any time. Creating multiple Accounts or otherwise abusing complimentary Credits is prohibited and may result in forfeiture and termination.
8.5 Billing, renewal, and taxes. Prices exclude taxes unless stated, and you are responsible for all applicable taxes and duties. For subscription Plans, you authorise aplies and its payment processors to charge the recurring fee to your payment method on each renewal date until you cancel. Subscriptions renew automatically for successive periods unless cancelled before the renewal date.
8.6 Immediate performance and EU/UK consumers. For digital content and Credits delivered immediately, where you are a consumer with a statutory withdrawal or “cooling-off” right, you expressly request and consent to immediate performance and acknowledge that you lose that withdrawal right once performance begins and, for Credits, once they are consumed, to the extent permitted by law. Nothing here limits mandatory consumer rights that cannot be waived under the law applicable to you (Section 9.6).
8.7 Payment processing. Payments are processed by third-party, PCI-DSS-compliant payment processors. aplies does not itself store your full payment-card number. Your provision of payment information is also subject to the processor’s terms and privacy practices, and you represent that you are authorised to use the payment method you provide.
8.8 Price and Plan changes. aplies may change prices, Credit costs, Plan contents, and promotional terms at any time. A change that materially and adversely affects you will take effect only after at least thirty (30) days’ notice by email and/or in-Service notice. A price change does not affect Credit packs already purchased or the price of a subscription during its current paid term; increases apply to renewals and future purchases only. Your continued use or non-cancellation after the effective date constitutes acceptance.
8.9 Failed payments. If a charge fails, aplies may suspend access, retry the charge, or downgrade the Account. You remain responsible for amounts owed.
9. Refund Policy
9.1 General rule. We keep pricing simple and honest. Except where a non-waivable law requires otherwise (Section 9.6) or as expressly stated in this Section, all payments are final and non-refundable, and Credits are non-refundable — whether they have been used, remain unused, or have expired. Because Credits are charged per attempt (Section 8.1), a consumed Credit is not refundable merely because an attempt produced no response, was declined by a third party, or resulted in any action by a Third-Party Platform. Unused Credits, and Credits that expire at the end of their validity period, have no cash value and are forfeited without refund — including on expiry, on closure of your Account, or when you stop using the Service.
9.2 Service-reliability commitment. We want aplies to work well for you. If you experience a verified problem caused by aplies — such as a bug, service instability, downtime, a failed run on our side, or a comparable issue attributable to us — we will, at our reasonable discretion and as a goodwill gesture, compensate you with free Credits or a discount on a future purchase. This is how we choose to make things right: it is provided as Credits or discounts, not as a cash refund, creates no entitlement to a cash refund, and does not limit any non-waivable right you may have under applicable law. To request it, contact [email protected] with your Account and the relevant activity-log entry.
9.3 Discretionary refunds. aplies may, in its sole discretion and as a goodwill gesture, grant a partial or full refund or Credit adjustment (for example, for unused Credits or a verified Service malfunction). Any such gesture is case-by-case and creates no obligation or precedent.
9.4 Subscription cancellation. You may cancel a subscription at any time; cancellation stops future renewals and takes effect at the end of the current paid period. Unless required by law, fees already paid for the current period are not refunded, and you retain access until the end of that period.
9.5 If aplies discontinues the Service. If aplies permanently discontinues the Service (or a paid Plan) other than for your breach, it will give reasonable advance notice and refund the prepaid, unused portion — unexpired subscription time and unused, unexpired Credits — on a pro-rata basis. This is your sole remedy for discontinuation.
9.6 Mandatory local consumer rights. Nothing in these Terms limits non-waivable consumer rights under your local law. Where your local law grants mandatory cancellation or refund rights (for example, statutory cooling-off periods in certain jurisdictions), those rights prevail over the non-refundable default in this Section, to the minimum extent the law requires.
9.7 Chargebacks. If you initiate a chargeback or payment dispute in bad faith or in breach of these Terms, aplies may suspend or terminate your Account and pursue recovery of the disputed amount and associated costs.
9.8 Refund deductions. Where a refund is issued — whether as a goodwill gesture, on discontinuation of the Service (Section 9.5), or as required by law — aplies may deduct from the amount refunded any transaction, processing, or service fees, and any charges applied by third parties (including payment processors, banks, or app stores) in connection with the original payment or the refund. The amount you receive may therefore be less than the amount originally charged.
10. Intellectual Property and Protection of aplies
aplies’s intellectual property is among its most valuable assets and is protected to the fullest extent of the law.
10.1 Ownership. As between you and aplies, aplies and its licensors own and retain all right, title, and interest in and to the Service and everything comprised in it, including the aplies name, brand, logos, and trademarks; the Extension and all software, source code, object code, and binaries; the AI Agent and its underlying models, weights, prompts, pipelines, and configurations; all algorithms, methods, know-how, designs, user interfaces, text, graphics, and documentation; all databases and aggregated or derived data; and all improvements and derivatives of the foregoing, together with all patents, copyrights, trademarks, trade secrets, and other intellectual-property and proprietary rights (collectively, the “aplies IP”).
10.2 Limited licence to you. Subject to your compliance with these Terms, aplies grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and use the Service for your own individual, non-commercial job-search purposes during the term. All rights not expressly granted are reserved.
10.3 Prohibited conduct. You must not, and must not permit any third party to: (a) copy, reproduce, republish, distribute, sell, rent, lease, sub-license, or otherwise commercialise the Service or any aplies IP; (b) reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, weights, prompts, algorithms, or underlying components of the Service or its AI Agent, except to the narrow extent this restriction is prohibited by applicable law; (c) modify, translate, or create derivative works of the Service or aplies IP; (d) scrape, crawl, harvest, or extract data, models, prompts, Outputs, or content from the Service, or use the Service or any Output, to develop, train, fine-tune, benchmark, evaluate, or operate any product, dataset, model, or service, including any competing or similar product; (e) remove, obscure, or alter any proprietary notice; (f) circumvent, disable, or interfere with any security, licensing, rate-limiting, or access-control feature; or (g) use the Service or aplies IP to develop, market, or assist a product that competes with aplies.
10.4 Feedback. If you provide suggestions or feedback, you grant aplies a perpetual, irrevocable, worldwide, royalty-free, fully paid-up licence to use and exploit it for any purpose without obligation or attribution.
10.5 Your content and licence to us. You retain ownership of your User Content and of the application content generated for you. You grant aplies a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, adapt, and display your User Content solely as necessary to operate, secure, maintain, and improve the Service and to provide it to you, and as described in the Privacy Policy. You represent that you hold all rights necessary to grant this licence.
10.6 Confidentiality and trade secrets. The non-public elements of the Service — including its models, prompts, source code, architecture, and pricing logic — are confidential information and trade secrets of aplies. You must not disclose, publish, or misuse them. This obligation survives termination.
10.7 Enforcement and remedies. You acknowledge that any breach of this Section would cause aplies irreparable harm for which monetary damages would be inadequate. aplies is entitled to immediate injunctive and equitable relief, without the requirement to post bond, and you waive any objection to such relief on the ground that money damages would suffice, in addition to all other remedies. To the fullest extent permitted by law, aplies may recover from an infringing or breaching party all available damages, an account of and disgorgement of profits derived from the breach, the maximum statutory damages available, and its reasonable legal fees, expert fees, and costs of enforcement. Where permitted, given the difficulty of quantifying harm from unauthorised copying, reverse-engineering, or misappropriation of aplies IP, aplies may elect liquidated damages representing a reasonable pre-estimate of that harm as a court may determine, which the parties agree is not a penalty. aplies reserves the right to pursue all civil and criminal remedies available anywhere in the world.
10.8 Beta and experimental features. Features identified as beta, preview, or experimental are provided “as is,” may be changed or withdrawn at any time, and are excluded from any indemnification or service commitment.
10.9 Intellectual-property complaints. aplies respects the intellectual-property rights of others and reviews properly substantiated complaints of infringement under Section 20. Complaints may be sent to [email protected].
11. Disclaimers of Warranties
11.1 We work hard to make aplies dependable, and we are upfront that no software is perfect. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. To the fullest extent permitted by law, aplies disclaims all warranties, express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement.
11.2 aplies does not warrant that the Service will be uninterrupted, timely, secure, or error-free; that it will remain compatible with any Third-Party Platform; that any Output will be accurate, complete, or suitable; or that any application will be delivered, seen, or result in any interview or offer. You use the Service, and rely on any Output, at your own risk.
11.3 Some jurisdictions do not allow the exclusion of certain warranties; there, such warranties are limited to the minimum scope and duration permitted by law, and, where a bare “as is” disclaimer is not permitted, aplies warrants only that it will provide the Service with reasonable skill and care.
12. Limitation of Liability
12.1 Exclusion of certain damages. We stand behind the Service, but like every software tool we have to set limits on legal liability. TO THE FULLEST EXTENT PERMITTED BY LAW, APLIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, JOB OR HIRING OPPORTUNITY, GOODWILL, DATA, OR APPLICATIONS, OR FOR ANY ACTION TAKEN BY A THIRD-PARTY PLATFORM IN RESPECT OF YOUR ACCOUNT (INCLUDING ANY RESTRICTION, SUSPENSION, OR TERMINATION), HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY.
12.2 Liability cap. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF APLIES ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU ACTUALLY PAID TO APLIES FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY US DOLLARS (US$50).
12.3 Sole and exclusive remedy. Your sole and exclusive remedy for dissatisfaction with the Service is to stop using the Extension and, where applicable, cancel your subscription.
12.4 Basis of the bargain. The disclaimers and limitations in Sections 11 and 12 are an essential basis of the bargain and apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations; there, aplies’s liability is limited to the minimum extent permitted by law. Nothing in these Terms excludes liability that cannot lawfully be excluded.
13. Indemnification
You agree to defend, indemnify, and hold harmless aplies and its officers, directors, employees, contractors, licensors, and agents from and against any and all claims, demands, actions, investigations, liabilities, damages, losses, penalties, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service; (b) your User Content and any application, answer, or material submitted through the Service, including any third-party personal data within it; (c) your breach of these Terms or of any representation or warranty; (d) your violation of any law or of the rights of any person; and (e) your breach of, or any dispute with, any Third-Party Platform, employer, recruiter, or other third party, including any action a Third-Party Platform takes in respect of your account. aplies may assume the exclusive defence and control of any matter subject to indemnification, at your expense, and you agree to cooperate.
14. Term, Suspension, and Termination
14.1 Suspension and termination by aplies. aplies may suspend, limit, or terminate your access to the Service, in whole or in part, immediately and with or without notice, if it reasonably believes you have breached these Terms or the Acceptable Use section, abused automation or complimentary Credits, engaged in fraud or chargeback abuse, appear on a sanctions list, violated a Third-Party Platform’s terms, or where your use causes or is reasonably likely to cause harm or legal liability to aplies, any user, or any Third-Party Platform, or as required by law.
14.2 Effect of termination for cause. On termination for cause, all remaining and unused Credits (including free and promotional Credits) are forfeited without refund, aplies may deactivate your Account and delete associated data (subject to the Privacy Policy and law), and you must not re-register or access the Service under any other identity without aplies’s written consent.
14.3 Termination by you. You may stop using the Service and close your Account at any time. Termination does not entitle you to any refund except as expressly stated in Section 9 or required by law.
14.4 Monitoring and enforcement. aplies may monitor Service usage and logs to detect abuse, fraud, Account-sharing, and platform-risk patterns, and may act on or disclose such information as reasonably necessary to enforce these Terms or comply with law.
14.5 Survival. Sections that by their nature should survive will survive termination, including Sections 1, 5, 6, 7, 8 (as to amounts owed), 9, 10, 11, 12, 13, 14, and 15–21.
15. Dispute Resolution, Service of Process, and Governing Law
15.1 Informal resolution first. Most problems are quicker to fix than to litigate. Before commencing any formal proceeding, you agree to contact aplies at [email protected] and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
15.2 Service of legal process and formal notices. Formal legal notice — including service of process, a claim form, a summons, an originating application, or any other document by which proceedings are commenced or continued — must be given by registered post or by internationally recognised courier with proof of delivery, to the address for service that aplies provides on written request to [email protected]. aplies will provide that address within a reasonable period of receiving a written request for it, and a party intending to commence proceedings must request it in advance. [email protected] is an address for ordinary business correspondence only. It is not an agreed address or channel for service, and aplies does not consent to service by email. Notice or service by email, web form, social media, or other electronic means does not constitute valid service on aplies and has no legal effect, except where a court of competent jurisdiction orders otherwise or applicable law requires another method to be accepted. Delivering a document by an invalid method does not start, extend, or preserve any period for a response.
15.3 Class-action and jury waiver. To the fullest extent permitted by law, disputes will be resolved only on an individual basis; you and aplies waive any right to participate in a class, collective, consolidated, or representative action, and waive any right to a jury trial. If the class-action waiver is found unenforceable as to a particular claim, that claim shall proceed in court, and the remainder of this Section survives.
15.4 Time limit on claims. Any claim arising out of or relating to these Terms or the Service must be commenced within one (1) year after the claim first accrues, or it is permanently barred, except where applicable law prohibits shortening the limitation period.
15.5 Exceptions. Nothing here prevents either party from seeking injunctive or equitable relief in court to protect intellectual property or confidential information (Section 10), or from bringing a claim in a small-claims forum.
15.6 Governing law and forum. These Terms and any dispute arising out of or relating to them or to the Service are governed by the laws of aplies's principal place of business, without regard to conflict-of-laws rules and excluding the UN Convention on Contracts for the International Sale of Goods. The courts of aplies's principal place of business have exclusive jurisdiction over any such dispute, subject to Section 15.7. Nothing in this Section limits aplies's right to bring proceedings to protect its intellectual property or confidential information in any court of competent jurisdiction.
15.7 Mandatory local law. Where mandatory local law grants you the right to bring proceedings in your place of residence, or prohibits the class-action waiver, that mandatory law prevails to the minimum extent required, and the balance of these Terms remains in effect.
16. Changes to the Service
16.1 aplies may change, add, or remove features, Plans, and other aspects of the Service at any time. Where a change materially reduces core functionality of a paid Plan you hold, Section 9.5 (discontinuation refund) applies to the affected prepaid, unused portion.
17. Changes to these Terms
17.1 aplies may modify these Terms at any time. For material changes, aplies will update the “Last updated” date and version and take reasonable steps to notify you (for example, by in-Service notice or email); where the change materially and adversely affects you, aplies will provide at least thirty (30) days’ notice before it takes effect. Your continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and, for subscriptions, cancel before the next renewal. Changes are prospective and do not entitle you to a refund of amounts already paid or Credits already consumed, except as required by law or Section 9.
18. International Use, Export, and Sanctions
18.1 The Service is offered internationally. aplies makes no representation that the Service, or any part of it, is appropriate or available for use in every location. You may access the Service only where it is lawful to do so, and you are responsible for compliance with the laws that apply to you, including any local requirement on automated tools, data protection, or employment.
18.2 You must comply with all applicable export-control and sanctions laws and repeat the representations in Section 2.2. You must not use the Service for any prohibited end-use or in or for the benefit of any sanctioned territory or restricted party.
19. General Provisions
19.1 Force majeure. aplies is not liable for any delay or failure caused by events beyond its reasonable control, including outages, network or platform failures, changes by Third-Party Platforms, government action, or labour disruption.
19.2 Assignment. You may not assign or transfer these Terms without aplies’s prior written consent. aplies may assign them freely, including in connection with a merger, acquisition, or sale of assets.
19.3 No third-party beneficiaries. These Terms create no rights in any third party, except that the aplies indemnitees named in Section 13 may enforce that Section.
19.4 Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and aplies regarding the Service and supersede all prior agreements on that subject.
19.5 Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to be enforceable or, failing that, severed, and the remaining provisions remain in full force. This is intended to preserve the maximum protection for aplies permitted in each jurisdiction.
19.6 No waiver. aplies’s failure to enforce any provision is not a waiver of its right to do so later.
19.7 Relationship. The parties are independent contractors; nothing creates a partnership, joint venture, agency, or employment relationship, except that you appoint the Service as your limited agent solely to perform the Actions you configure.
19.8 Notices, language, and headings. aplies may give notice by in-Service message, email, or posting; you may contact aplies at [email protected] and [email protected]. Formal legal notice to aplies, including service of process, must be given in the manner required by Section 15.2; notice given by any other means has no legal effect. Translations are for convenience; the English version prevails to the extent permitted by law. Headings are for convenience only.
20. Intellectual-Property Complaints
20.1 How to complain. aplies respects the intellectual-property rights of others and reviews properly substantiated complaints. Send your complaint to [email protected], identifying: (a) the work, mark, or other right you claim has been infringed; (b) the material you say infringes it, described precisely enough for aplies to locate it; and (c) the basis of your claim, together with your contact details and a statement that the information you have given is accurate and that you are the rights holder or authorised to act on that holder’s behalf.
20.2 What aplies may do. aplies may, at its discretion and in appropriate circumstances, remove or disable access to material, and suspend or terminate the Account of any user it determines to be a repeat infringer. aplies may decline to act on a complaint that is incomplete, unsubstantiated, or made in bad faith, and may pass the complaint and your contact details to the user concerned. aplies does not host public user-generated content; complaints about material appearing on a Third-Party Platform should be directed to that platform.
